Version 3.0
The Service is available EXCLUSIVELY to businesses and entrepreneurs conducting business activity. The Service is not intended for consumers within the meaning of applicable consumer protection laws.
By registering for and using the Service, the Client explicitly confirms and represents that they are acting in their capacity as a business entity or entrepreneur (B2B), and not as a consumer (B2C). The Service must be ordered via a company account or business email domain. To enable verification of business status, the Client may be required to provide a valid business registration number, NIP (Tax Identification Number), or equivalent identifier during registration or at the time of payment.
Sole Proprietors (Jednoosobowa Działalność Gospodarcza) subject to Polish law: By accepting these Terms, the Client who is a natural person conducting a sole proprietorship explicitly acknowledges that the Service is directly related to their business activity and holds a professional character for them within the meaning of Art. 22(1) of the Polish Civil Code, thereby fully excluding the application of consumer protection provisions, including but not limited to the right of withdrawal under the Act on Consumer Rights of 30 May 2014.
If it is determined that a Client registered as a consumer or misrepresented their business status, the Company reserves the right to terminate the Service immediately and may pursue any remedies available under applicable law.
The service of the Product Mapper application available at https://neodigix.com/ai/en/product-mapper ("Service") is provided by NEODIGIX SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, a company incorporated under the law of Poland with its registered office in Kraków, at ul. Szlak 77 lok. 222, postal code: 31-153, NIP (EU VAT/Tax Identification no.) 6762719046, registered in the National Court Register (KRS) under number 0001238643 ("Company" or "Neodigix").
In order to use the Service, you must first agree to the Terms and Privacy Policy. You can agree to these regulations by using the appropriate check box during registration. To avoid any doubt, it is assumed that using the Service means accepting the Terms and Privacy Policy.
You may not use the Service if you are a person barred from receiving the Service under Polish law or the laws of other countries, including the country in which you are resident or from which you use the Services. By using the Service you confirm that you are over the age of 18.
The Service is a SaaS tool that uses Artificial Intelligence (AI) to automatically categorize e-commerce products based on uploaded files (CSV/XLSX) ("Input Data"). The Service is ordered by the Company's client ("Client") via the interface available after creating a user account.
The Service utilizes experimental Large Language Models (LLM) provided by third parties (e.g., OpenAI). Due to the probabilistic nature of AI, the Company does not guarantee the accuracy, completeness, or consistency of the categorization results ("Output Data"). The Service is provided as a tool to assist the Client, and the Client is solely responsible for verifying the Output Data before using it in a production environment.
If the provision of the Service results in a risk of more than insignificant damage to the Company or another entity or Clients of the Service, the Company may block or restrict access to the Service.
Unless otherwise indicated from the service level guarantees, the Company may carry out planned measures that affect the availability of the Service if required for technical, maintenance, operational or safety reasons. The Company undertakes to notify the Client within a reasonable time before such action.
The Company will use commercially reasonable efforts — meaning the degree of effort, resources, and measures that a reasonable company of similar size in the same industry would employ — to ensure the Service is available 99% of the time in a given calendar month, except for downtime caused by: (i) Client-provided hardware/software failure, (ii) suspension of Service due to breach of Terms, or (iii) Force Majeure.
Force Majeuremeans any event beyond the Company's reasonable control, including but not limited to: natural disasters, acts of war or terrorism, strikes, government actions, pandemics, power outages, failures of third-party infrastructure providers (including OpenAI or Stripe), and internet or telecommunications outages. The Company shall not be liable for any failure or delay in performance resulting from a Force Majeure event.
SLA Reporting: If the Client believes the 99% availability target has not been met in a given calendar month, the Client must notify the Company in writing at [email protected] within 10 business days following the end of that month. Claims submitted after this period will not be considered.
The latest pricing can be found on our Pricing page. Our pricing is subject to change at any time. We reserve the right to modify our pricing for any reason, including but not limited to: market changes, cost of API usage, or changes in our business model.
The price presented to the Client at the moment of checkout (before clicking "Pay" or "Generate") is binding for that specific transaction.
Any outstanding balance becomes immediately due and payable upon breach of the Terms for any reason.
The Client is required to provide their country of residence or business establishment at the time of payment. The provision of accurate country information is mandatory and forms the basis for correct VAT calculation and invoicing.
The VAT treatment for EU-based Clients is determined in accordance with Council Directive 2006/112/EC (the EU VAT Directive) and depends on whether the Client provides a valid VAT ID:
By providing a VAT ID, the Client confirms that:
The Company reserves the right to verify provided VAT IDs (e.g., via VIES) and may reject invalid or incorrectly formatted VAT identification numbers, in which case the standard 23% VAT rate will apply.
For Clients located outside the European Union, the supply of services constitutes an export of services. In accordance with EU VAT law, such transactions are subject to 0% VAT (zero-rated). The Client located outside the EU may be subject to local taxes, VAT, GST, or other tax obligations in their jurisdiction, which are entirely the Client's responsibility.
The Client explicitly acknowledges and agrees that:
The Company will issue invoices for all transactions, which will include the base price, applicable VAT (if any), total amount paid, and the country declared by the Client. For EU business customers who provided a valid VAT ID, the invoice will include the VAT ID and the reverse charge notation where applicable.
To ensure the integrity of transaction and tax records, the Client's billing data (company name, registered address, country, and VAT ID) is locked after the first completed payment and cannot be modified by the Client through the Service interface thereafter. This measure protects both the Client and the Company by ensuring that billing snapshots recorded at the time of each transaction remain consistent with the Client's registered information. If a change to billing data is required after a payment has been made (e.g., due to a legitimate change in company details), the Client must submit a written request to [email protected]. Such changes will apply only to future transactions and will not alter historical payment records.
The Company does not provide tax, legal, or accounting advice. Clients are strongly encouraged to consult with their own tax advisors or accountants regarding their specific tax obligations, VAT treatment, and any questions about the tax implications of using the Service.
The Company reserves the right to adjust VAT rates or tax treatment in accordance with changes in applicable tax law, regulations, or guidance from tax authorities. Any such changes will be applied prospectively to future transactions.
Neodigix uses the 3rd party payment platform Stripe and the Stripe API. By using Product Mapper and agreeing to these Terms, you also agree to be bound by Stripe's Terms of Service.
The Service is billed on a per-usage basis (pay-per-use). Fees are calculated based on the number of products processed and the complexity of the task. Payment is required before the processing of the file begins.
Due to the immediate costs incurred by the Company (API costs paid to AI providers) at the moment of processing, and the exclusive B2B nature of this Service, all sales are final. The Company does not offer refunds for processed files, regardless of the Client's satisfaction with the AI categorization quality (Output Data), unless the file failed to generate due to a technical error on the Company's side.
By initiating the processing (clicking "Pay" or "Generate"), the Client explicitly and irrevocably waives any right of withdrawal or cancellation with respect to that specific transaction, acknowledging that the immediate commencement of digital service performance is at the Client's express request. This waiver takes effect upon the Client's initiation of payment and is binding as part of the Terms accepted at registration.
All complaints regarding the Service should be sent to: [email protected]. The Company will respond to all complaints within 14 calendar days from the date of receipt.
Support is provided via email: [email protected]. Support provided by these Terms does not guarantee a specific time of error fixing, although the Company strives to respond within 24 business hours.
The service can be terminated by both parties at any time. The Client may terminate these Terms by deleting their account.
The Company may terminate the Service immediately without notice period in case of:
In the case of termination for the reasons mentioned above, the Company will have no obligation to provide a refund of any amount previously paid.
The services are provided "as is". The Company does not provide a guarantee or a warranty for the services. The Company makes no other warranties, express or implied, and specifically makes no guarantee of success, profitability, accuracy of AI categorization, or fitness for any particular purpose.
The Company does not warrant that the results of the Service will be error-free or that they will meet the Client's specific requirements.
To the maximum extent permitted by applicable law, and except for damages caused intentionally or resulting from gross negligence (rażące niedbalstwo), under no circumstances will the Company be liable, whether in contract or in tort or under any other legal theory (including, without limitation, strict liability and negligence) for: lost profits or revenues; loss of contracts, business opportunities or information; damage to or corruption of data; actions and damages in connection with Force Majeure; or any indirect, special, consequential, punitive, incidental or similar damages.
Regardless of the basis of the claims, the liability of the Company for damage in relation to a single claim may not exceed the amount paid by the Client for the specific file processing that caused the damage.
These Terms do not transfer any intellectual property rights from the Client to the Company. The Client retains full ownership of the uploaded files (Input Data). The Client grants the Company a limited, non-exclusive license to process the Input Data solely for the purpose of providing the Service (including transmitting data fragments to third-party AI APIs).
AI-Generated Output Data: The categorized output generated by the AI (Output Data) is produced by a Large Language Model and does not constitute an original work of authorship under Polish copyright law (Act of 4 February 1994 on Copyright and Related Rights) or EU copyright law, as it lacks a human author. The Company claims no ownership or intellectual property rights over the Output Data. To the extent permitted by applicable law, the Client may use the Output Data for any legal business purpose. The Client acknowledges that Output Data may not be eligible for copyright protection and uses it at their own risk.
The Neodigix logo, "Product Mapper" name, source code, interface, and all other trademarks used in connection with the Service are trademarks or intellectual property of the Company.
The form and nature of the Services which the Company provides may change from time to time without prior notice. Examples of changes include: security patches, added functionalities, and AI model updates (e.g., upgrading to a newer model).
The Company reserves the right to update these Terms. For any material changes to these Terms (i.e., changes that meaningfully affect the Client's rights or obligations), the Company will make commercially reasonable efforts to notify the Client via email at least 14 days before such changes become effective. Non-material changes (e.g., clarifications, corrections) may take effect immediately upon publication. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If the Client does not agree to the updated Terms, their sole remedy is to terminate their account prior to the effective date of the changes.
The Client agrees to hold harmless and indemnify the Company and its partners against any third-party claim arising from:
The agreement shall be governed by Polish law, and any disputes that may arise on the basis of the Agreement will be settled by the competent court for the registered office of the Company (Kraków, Poland).
These Terms are made available in English and Polish. In the event of any discrepancy or inconsistency between the English and Polish versions, the English language version shall prevail and be the binding version for all legal purposes.
To the extent that the files (Input Data) uploaded by the Client contain any personal data within the meaning of Article 4(1) of the GDPR, this Section constitutes a Data Processing Agreement (DPA) between the Parties in accordance with Article 28 of the General Data Protection Regulation (EU) 2016/679 ("GDPR").
The Client acts as the Data Controller (determining the purposes and means of processing), and the Company acts as the Data Processor. The Company processes personal data only on documented instructions from the Client, as set out in these Terms.
The Company will process personal data solely for the purpose of providing the Service (AI-based product categorization) and strictly in accordance with the Client's documented instructions. The Company will not process personal data for any other purpose, including for training AI models.
The Company ensures that all persons authorized to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. The Company implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including measures to protect against unauthorized or unlawful processing and against accidental loss, destruction, or damage.
By accepting these Terms, the Client provides general written authorization for the Company to engage the following categories of sub-processors: AI service providers (currently OpenAI, L.L.C., USA) and cloud infrastructure hosting providers (within the EEA, or secured via Standard Contractual Clauses where outside the EEA).
The Company will inform the Client of any intended changes concerning the addition or replacement of sub-processors by sending a notification to the Client's registered email address at least 14 days before the change takes effect. The Client has the right to object to such changes in writing within that period. If the Client objects and the Parties cannot resolve the objection, the Client may terminate the relevant processing activities by deleting their account, without prejudice to any payment obligations incurred prior to termination.
The Company will notify the Client without undue delay, and in any event within 48 hoursof becoming aware of a personal data breach affecting the Client's data, providing sufficient information to allow the Client to meet their obligation to report the breach to a supervisory authority within 72 hours under Article 33 of the GDPR. Such notification will be sent to the Client's registered email address and will include, to the extent available: the nature of the breach, categories and approximate number of data subjects and records concerned, likely consequences, and measures taken or proposed to address the breach.
The Company will retain uploaded Input Data and resulting Output Data only for as long as necessary to provide the Service and meet legal obligations. Upon account deletion by the Client, the Company will delete all personal data associated with that account immediately, and in any event within 30 days, unless longer retention is required by applicable law (e.g., for tax and accounting purposes under Polish law, which may require retention for up to 5 years). The Client may also request deletion of their data at any time by contacting [email protected]; such requests will be fulfilled within 30 days. The Company will provide written confirmation of deletion upon request.
The Company will reasonably assist the Client, at the Client's expense, in fulfilling the Client's obligations regarding data subject rights under Chapter III of the GDPR (including rights of access, rectification, erasure, restriction, and portability). The Company will forward any data subject requests received directly by the Company to the Client within 5 business days. In accordance with Article 12 of the GDPR, the Client (as Controller) is responsible for responding to data subjects within one calendar month from receipt of the request (extendable by two further months where necessary).
The Company will make available to the Client all information strictly necessary to demonstrate compliance with the obligations laid down in Article 28 of the GDPR and will allow for and contribute to audits, including inspections, conducted by the Client or an auditor mandated by the Client. To protect the security of the Company's systems and other clients' data, audits shall be conducted primarily via the provision of relevant documentation and written responses. Physical on-site audits may only be conducted with at least 30 days' prior written notice, during business hours, and at the Client's expense, and shall not unreasonably interfere with the Company's business operations.
